SERVICE PROVIDERS AND SUPPLIERS AGREEMENT
Pursuant to the mutual requirement of J-Spiral Steel Pipe Co., Ltd and relating services providers and suppliers, this agreement is made based on the following contents:
I. Purpose:
– Ensure all activities of service providers and suppliers always consist with the company’s policies, as well as the safety, health and environmental regulations.
II. Scope:
– Apply to all service providers and suppliers who working at J-Spiral Steel Pipe Co., Ltd.
III. Responsibilities:
1. JSP:
1.1. Requested Department Managers:
– Announcing company regulations to service providers and suppliers.
– Assigning staff to supervise, guide service providers and suppliers while they working here.
– Announcing to H.S.E staff the service providers and suppliers’ information before they come to work.
– Obliged not to order to give or directly offer anything valuable under any circumstances to the service providers and suppliers in the aim to corruptly influence the work results or as a reward.
1.2. Requested Department staff:
– Supervising, directing service providers and suppliers while they work here.
– Coordinating with H.S.E staff to remind service providers and suppliers complying with company regulations.
– Obliged not to directly offer anything valuable under any circumstances to the service providers and suppliers in the aim to corruptly influence the work results or as a reward
1.3. H.S.E Staff:
– Receiving the information of service providers and suppliers come to work in company from department managers.
– Making briefly safety training for service providers and suppliers. (If relating to works under risky situation).
– Inspecting and reminding service providers and suppliers about safety to ensure that they comply with company’s safety rules.
– Obliged not to directly offer anything valuable under any circumstances to the service providers and suppliers in the aim to corruptly influence the work results or as a reward or to cover up any risky or dangerous accident happening under supervision of H.S.E Staff or due to H.S.E Staff’s recklessness.
2. Service providers and suppliers:
2.1. Service providers:
– Guaranteeing to complete the work on time as well as ensuring quality of work.
– Preparing materials, equipment and safety gears before working.
– Managing workers who are fully provided insurance under services providers management during the work at JSP.
– Registering the name, the things bring in, following security check up.
– Following JSP regulations and safety rules when working under supervision of JSP staff.
– Service providers only go straight workplace assigned in company and shouldn’t entry non-working area.
– If there is any lost or damage caused by service providers because of not following JSP regulations and safety rules or carelessness, services providers shall take all responsibilities.
– Obliged not to directly offer anything valuable under any circumstances to the JSP’s employees in the aim to corruptly influence the work results or cover up any corruptions regulated in the Anti-Corruption and Penal Code (No.100/2015/QH13) in Vietnam.
– Committing to not hire or bring labors under maturity ages to work at JSP under any circumstances.
2.2. Suppliers:
– Guaranteeing to deliver the products with the quality, quantity and time as agreed.
– Preparing safety gears before entering JSP (if delivering to factory area).
– Registering the name, the things bring in, following security check up.
– Following JSP regulations and safety rules when deliver to JSP.
– Suppliers only go straight workplace assigned in company and shouldn’t entry non-working area.
– If there is any lost or damage caused by suppliers because of not following JSP regulations and safety rules or carelessness, suppliers shall take all responsibilities.
– Obliged not to directly offer anything valuable under any circumstances to the JSP’s employees in the aim to corruptly influence the work results or cover up any corruptions regulated in the Anti-Corruption and Penal Code (No.100/2015/QH13) in Vietnam.
– Committing to not hire or bring labors under maturity ages to work at JSP under any circumstances.
– Obliged not to use, bring or deliver any mineral ores mined in conflict countries under any circumstances.
IV. Rights:
1. JSP:
– The responsible person or any company’s employees can request service providers or suppliers to stop working immediately if detecting any unsafe work or regulations violation.
– JSP can request fine to service providers based on JSP’s internal rules when detecting violation.
– Complaining or stop working when detecting bribery or corruption done by JSP’s employees.
2. Service providers and suppliers:
– Requesting JSP to check and supervise the working environment to ensure safety.
– Rejecting to work when detecting unsafe and hazardous working environment.
– Complaining or stop working when detecting bribery or corruption done by JSP’s employees.
V. Validity and value:
– This agreement shall take effect immediately after signed.
– This agreement is considered to be the legal evidence if there is any dispute.
– This agreement is bilingually made (English and Vietnamese) into 2 copies with the same value.
